ACCEPTANCE OF TERMS

Carland Korea and its subsidiaries and affiliates (“Carland Auction”) provide you with their online services and Content (as defined below; collectively, the “Service”) in accordance with these Terms of Use, which may be updated by Carland Auction from time to time without prior notice. You can view the most recent version of the Terms of Use at any time on the Terms of Use page. Additionally, when using certain Carland Auction services, you must comply with all published instructions, rules, Participant Agreement Terms and Conditions, and/or procedures applicable to such services, which may be updated from time to time. All such materials are incorporated into the Terms of Use by reference.

ACCOUNT, PASSWORD, AND PARTICIPANT SECURITY

Upon registration, you will receive a username and password associated with your Carland Auction account. You are responsible for maintaining the confidentiality and security of your username and password, and bear full responsibility for any activities conducted under your account. You agree to (a) immediately notify Carland Auction of any unauthorized use of your account or other security breaches, and (b) log out at the end of each session. Carland Auction will not be liable for any loss or damage resulting from your failure to comply with this section.

CHANGES TO THE SERVICE

Carland Auction reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) at any time, with or without notice. You agree that Carland Auction shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

TERMINATION OF AGREEMENT

You agree that Carland Auction may, at its sole discretion, terminate your password, account (or any part thereof), or access to the Service, and delete or cancel any content within the Service for any reason, including inactivity or if Carland Auction believes you have violated the Terms of Use or acted inconsistently with them. You acknowledge and agree that Carland Auction may immediately deactivate or delete your account and all associated information, and/or prohibit further access to the auctions or the Service. Carland Auction shall not be liable to you or any third party for terminating your access to the Service.

OWNERSHIP RIGHTS OF CARLAND AUCTION

This website contains information, data, services, products, images, and other materials (collectively, “Content”) provided solely for informational purposes. You acknowledge and agree that the Content and any software used in connection with the Service (“Software”) contain proprietary and confidential information protected by applicable intellectual property and other laws. You further acknowledge and agree that the Content provided through this website is protected by copyright, trademarks, service marks, patents, or other proprietary rights. All Content is owned by Carland Auction. Unless otherwise indicated, Carland Auction owns all trademarks and service marks on this site.

USE OF CONTENT

Carland Auction provides Content for informational purposes only. Content may be printed, downloaded, or reformatted solely for personal, non-commercial use. No Content, in whole or in part, may be used for commercial purposes, including uploading, copying, duplicating, linking, displaying, distributing, or reproducing, without express written consent from Carland Auction. You agree not to use the Content for commercial or illegal purposes, and not to assist or allow anyone else to manipulate, remove, hide, move, add, or otherwise modify the Content.

DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

1. YOU USE THE SERVICE AT YOUR OWN RISK. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CARLAND AUCTION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

2. CARLAND AUCTION MAKES NO WARRANTIES THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS FROM USING THE SERVICE WILL BE ACCURATE, RELIABLE, COMPLETE, OR CURRENT, (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, CONTENT, INFORMATION, OR MATERIALS OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, OR (V) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

3. DOWNLOADING OR OTHERWISE OBTAINING ANY CONTENT OR MATERIAL THROUGH THE SERVICE IS AT YOUR OWN RISK. YOU BEAR SOLE RESPONSIBILITY FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM SUCH DOWNLOAD.

4. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM CARLAND AUCTION OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OF USE.

NEITHER CARLAND AUCTION NOR ANY INTERNET ACCESS PROVIDERS SHALL BE LIABLE FOR INCORRECT OR INACCURATE DATA ENTRY, HUMAN ERRORS, TECHNICAL MALFUNCTIONS, DATA LOSS OR TRANSMISSION DELAYS, INTERRUPTIONS, DELETIONS, FAILURES OF TELEPHONE OR COMPUTER EQUIPMENT, SOFTWARE ERRORS, OR INABILITY TO ACCESS THE CARLAND AUCTION SITE.

LIMITATION OF LIABILITY

IF YOU RELY ON THE SERVICE OR ANY MATERIAL AVAILABLE THROUGH IT, INCLUDING CONTENT, YOU DO SO AT YOUR OWN RISK. YOU UNDERSTAND THAT DELAYS, OMISSIONS, INTERRUPTIONS, INACCURACIES, OR OTHER ISSUES MAY OCCUR WITH INFORMATION, PRODUCTS, CONTENT, OR SERVICES PROVIDED ON THIS SITE.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT CARLAND AUCTION SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REPUTATION, OR DATA, INABILITY TO USE, OR OTHER INTANGIBLE LOSSES (EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM: (I) USE OR INABILITY TO USE THE SERVICE; (II) COSTS OF REPLACING GOODS OR SERVICES RESULTING FROM OBTAINING ANY GOODS, DATA, INFORMATION, OR SERVICES THROUGH THE SERVICE; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR (IV) ANY OTHER CAUSE RELATED TO THE SERVICE.

GENERAL INFORMATION

The Terms of Use and your relationship with Carland Auction are governed by the laws of the Republic of Korea, without regard to conflict of law principles. You and Carland Auction agree to submit to the personal and exclusive jurisdiction of the courts located in the Republic of Korea. Carland Auction’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision is held invalid by a court of competent jurisdiction, the court shall attempt to enforce the parties’ intentions reflected in that provision, and the remaining provisions shall remain in full force and effect. Any claims or causes of action arising from or related to the use of the Service or these Terms must be filed within one (1) year from when the claim or cause of action arises, or they will be permanently barred.
